Terms & Conditions

Enterprise engagement terms, master services framework, intellectual property rights, and service level commitments.

1. Scope of Engagement & Services

These Terms & Conditions (“Terms”) govern the professional software development, cloud infrastructure architecture, IT modernization, and technical advisory services delivered by Techract Solutions Ltd. (“Techract,” “Company,” “we,” or “our”) to enterprise clients (“Client,” “Customer,” or “you”).

Specific deliverables, timelines, sprint milestones, and pricing schedules are detailed within mutually executed Statements of Work (SOW) or Master Services Agreements (MSA). In the event of any conflict between these general Terms and an executed bilateral MSA, the executed bilateral agreement shall supersede.

2. Intellectual Property & Code Ownership

We believe in complete freedom from vendor lock-in. Our IP policy guarantees client independence:

100% Client Ownership of Custom Deliverables: Upon receipt of contractually agreed milestone payments, all bespoke source code, database architectures, microservice schemas, API definitions, and product documentation created exclusively for the Client transfer fully to the Client with zero royalty encumbrances.

Techract retains ownership only of general pre-existing development toolchains, open-source libraries, and reusable framework scaffolding (“Background Technology”), which are licensed to Client under perpetual, non-exclusive, worldwide, royalty-free terms solely to enable the operation of custom deliverables.

3. Mutual Confidentiality & NDA Protection

Both parties agree to treat all proprietary business logic, financial projections, architectural schematics, source repositories, and customer records as strictly confidential:

  • Neither party shall disclose confidential information to any third party without prior written authorization.
  • Access is restricted solely to personnel with a bona fide “need to know” under binding confidentiality covenants.
  • Confidentiality obligations survive termination of the engagement for a minimum period of five (5) years, and indefinitely with respect to trade secrets and source code.

4. Sprints, Acceptance Criteria & Deliverables

Development is structured through Agile methodologies (typically two-week sprint cadences):

Sprint Demonstrations

At the conclusion of each sprint cadence, Techract provides functional staging deployments and automated test suite coverage reports.

Acceptance Window

Client has ten (10) business days to audit milestones against agreed technical specifications prior to deemed milestone acceptance.

5. Service Level Agreements (SLA) & Uptime

For managed cloud topologies and production support retainers, Techract operates under contractually guaranteed availability benchmarks:

  • Target Cloud Availability: 99.98% uptime SLA on production multi-region cluster architectures.
  • Severity-1 Incident Response: Under thirty (30) minutes acknowledgment with immediate senior architect mobilization.
  • Continuous Monitoring: Real-time automated observability, health tracing, and automated failover routing.

6. Warranty & Defect Remediation

Techract warrants that custom software will conform substantially to functional specifications defined in the SOW for ninety (90) days following production deployment (“Warranty Period”).

During the Warranty Period, Techract will remediate verified reproducible code defects or security vulnerabilities at zero additional billing charge to the Client.

7. Limitation of Liability & Indemnification

Except with respect to gross negligence, willful misconduct, or breach of confidentiality covenants:

  • Neither party shall be liable for indirect, incidental, consequential, or punitive damages (including loss of business profits or data interruption).
  • Total aggregate liability shall be capped at the total aggregate fees paid by Client under the applicable SOW within the twelve (12) months preceding the claim.

8. Termination & Transition Assistance

Either party may terminate an engagement for material breach upon thirty (30) days written notice with opportunity to cure. Upon termination:

  • Client receives all completed source code, documentation, and work-in-progress deliverables.
  • Techract provides structured transition support, credential handover, and knowledge transfer to internal client teams.
  • All confidential materials and ephemeral access keys are immediately revoked and permanently expunged.

9. Governing Law & Legal Communications

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction specified within the executed SOW, without regard to conflicts of law principles.
